CHARTER
Preamble
New Jersey Mopar Owner and Enthusiast Group (NJ Mopar Group) is an organization founded and sponsored by Mopar Muscle Clubs LLC (MMC LLC) . The group was established to offer member benefits and services to early model and modern Chrysler, Plymouth, Dodge and Jeep (“Mopar”) owners and enthusiasts throughout New Jersey and contiguous states. The goal of New Jersey Mopar Group is to generate an increased level of enthusiasm for the ownership of Mopar vehicles. NJMG is a family-oriented and a nonpolitical organization.
Article I - Purpose
- The purpose of NJ Mopar Group is to promote responsible automotive activities for NJ Mopar Group members by conducting organization activities and encouraging participation in other Mopar-related events
- NJ Mopar Group activities and operations will be conducted in a manner consistent with a family-oriented, nonpolitical philosophy.
Article II – Sponsorship
- NJ Mopar Group is sponsored by MMC LLC. The decision to sponsor NJ Mopar Group is undertaken solely at the MMC LLC discretion.
- MMC LLC has absolute authority to require that NJ Mopar Group conduct its operations and activities in accordance with MMC LLC standards.
Article III – Officers & Elections
- NJ Mopar Group will hold elections in the Fall season of each year to fill office positions that are up for election that particular year.
- The General Manager is the nominations officer and will accept nominations for all positions beginning Aug 1 and ending August 31 each year. The General Manager will present the approved ballot to the Officers Committee for approval and posting in September.
- All elected officer positions are two year terms beginning with the first scheduled officers meeting after the election, and the positions will be alternated such that all positions do not expire in the same year, allowing for continuity of leadership.
- Special elections may be called by the president to fill a vacant position at any time during the year.
- The Officer’s Committee may, at its own discretion but only by vote of the committee, appoint to fill a vacancy created by the resignation, election to a new position, or appointment to a new position of a current member of the Officer’s Committee.
- Only current and valid, dues-paying members in good standing may nominate themselves or another member for a position, accept a nomination, vote in the election, or ultimately hold office in the organization.
- NJ Mopar Group has the following primary officers: Chairman/Founder, President, General Manager, Finance Manager, Event Manager(s), Sponsorship Manager(s), Membership Manager, Safety Officer. Other discretionary officers may be appointed as needed.
- The creation of a new officer position, or the elimination or modification of an existing officer position and its related responsibilities may only be accomplished with a unanimous vote of the Officer’s Committee.
- The duties and responsibilities of the primary officers is as follows:
- Chairman/Founder: The Chairman/Founder is a permanent position with ceremonious and operation duties as determined by the chairman and the offices.
- President: The President is responsible for upholding NJ Mopar Group by-laws and conducting or delegating the conducting of NJ Mopar Group leadership and general membership meetings. This is an elected position for a two year term.
- General Manager: The General Manager is the executive officer of the organization and assists the President in carrying out the President’s responsibilities, which may include the day-to-day operation of NJ Mopar Group, internal and external communications, the coordination of all NJMG activities and the management of other NJMG leadership. This is a position that is appointed by the officers for a two year term
- Membership Manager: The Membership Manager is responsible for promoting membership, membership orientation, membership retention, and keeping NJ Mopar Group members informed of NJ Mopar Group activities. The Membership Manager is responsible for ensuring that all members are current on dues, where appropriate, and is responsible for having on file a copy of the Membership Enrollment Form & Release of each member as signed upon acceptance to the organization. This is an elected position for a two year term.
- Finance Manager: The Finance Manager is responsible for the collection and disbursement of NJ Mopar Group funds, reporting the financial transactions to the leadership on a monthly basis, submitting an annual financial report to MMC LLC., and compliance with all revenue recording and reporting requirements. This is a position that is appointed by the officers for a two year term.
- Secretary: The Secretary is responsible for the administrative needs of NJ Mopar Group, keeping the minutes of leadership and annual business meetings and any other reports as required. Further, the Secretary shall ensure that all insurance requirements are met (including participant signatures to required release forms), and shall be responsible for the maintenance and storage of release forms. This is an elected position for a two year term.
- Event Manager: One or more Event Managers shall be responsible for the organization and administration of NJ Mopar Group events and the maintenance of NJ Mopar Group-owned property. This is an elected position for a two year term.
- Vendor/Sponsorship Manager: The Vendor/Sponsorship Manager is responsible for the development and management of vendor and sponsorship opportunities. This is an elected position for a two year term.
- Safety Officer: The Safety Officer is responsible for providing chapter members with information relating to the availability of safety training for racing events, caravans, and group events. The Safety Officer is also responsible for assisting in the planning of routes for NJMG caravans. This is an elected position for a two year term.
- Additional optional non-voting positions may be created or integrated into existing officer positions, including:
- Photographer: The Photographer shall be responsible for obtaining and organizing NJ Mopar Group photographs and media for use in NJ Mopar Group print and online publications.
- Webmaster: The Webmaster shall be responsible for assembling and organizing material for the NJMoparGroup.com.
- Other Positions: Other positions as deemed appropriate by the Officer’s Committee may be created.
Article IV – Non Profit Organization
NJ Mopar Group is a nonprofit corporation and maintains the documents and special identifiers needed to operate as a nonprofit corporation, including:
- Articles of Incorporation
- Bylaws
- Minutes
- Annual report
- Tax returns
NJ Mopar Group is subject to income, sales, and other tax reporting requirements.
Article V - Membership
- All Mopar owners and enthusiasts, age 18 and over, may join NJ Mopar Group.
- All NJ Mopar Group members must sign an Enrollment Form and Release of each chapter member.
- The Officers of the NJ Mopar Group may suspend or terminate a person’s membership in NJ Mopar Group if the officers committee determines that a member’s conduct is undesirable or contrary to NJ Mopar Group interests or in violation of NJ Mopar Group By-Laws.
Article VI- Dues & Financial Concerns
- NJ Mopar Group is a nonprofit organization. NJ Mopar Group may establish chapter dues to be utilized solely to pay or defray the cost of NJ Mopar Group administration.
- NJ Mopar Group may conduct legitimate fund-raising activities to assist in paying or defraying chapter operating expenses or to raise funds for charitable purposes. All such fund-raising activity shall be subject to approval by MMC LLC.
- Income sources may include membership dues, door prizes proceeds, group t-shirt sales, paid advertising and sponsorship revenue, and other income from group events.
- Expenses may include the cost of holiday parties, picnics, paying an accountant to prepare NJ Mopar Group tax returns, renting of facilities for meetings or events, reimbursement of NJ Mopar Group officers for valid NJ Mopar Group expenses, insurance, and web hosting or marketing expenses.
- All records and documents pertaining to NJ Mopar Group finances are the property of NJ Mopar Group and will be handled in a way that insures they are available to all future NJ Mopar Group officers.
- NJ Mopar Group finances are reported on at each Officer’s Meeting.
Article VII - Activities
NJ Mopar Group events and activities may include any family-oriented, safe activities that promote a positive image of the organization and that appeal to NJ Mopar Group membership. Examples include cruises, charity events, meet and greets, and holiday gatherings.
Article VIII – NJ Mopar Group Membership List
The membership list of NJ Mopar Group is the confidential property of the organization and will not be used for a purpose not connected with official NJ Mopar Group business.
Article IX- By-Laws
- This Charter shall be adopted and serve as operating policy for NJ Mopar Group and must be available to all members.
- NJ Mopar Group by-laws, if needed, may not replace, supersede or conflict with this Charter. Once adopted, a copy of the NJ Mopar Group by-laws must be available to all NJ Mopar Group members.
Article X - Amendments
MMC LLC may amend this Charter at any time at its sole discretion based upon MMC LLC’s review of organization developments and needs or because of conflicts with national, state, or local laws.
Article XI - Disbursement of Funds
In the event of dissolution or final liquidation of NJ Mopar Group, all of the remaining funds and property of the NJ Mopar Group will, after paying or making provision for the payment of all of the liabilities and obligations of NJ Mopar Group and for necessary expenses thereof, be distributed to such organization or organizations as are organized and operated exclusively for charitable purposes and which qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code. In no event shall any of such assets or property be distributed to any director, officer or private individual.
Article XII- Disclaimer
While the chapter may be affiliated with MMC LLC it remains a separate, independent entity responsible for its actions. All NJ Mopar Group members and their guest(s) participate voluntarily and at their own risk in NJ Mopar Group activities. MMC LLC, its officers, NJ Mopar Group, and its officers are and shall be released and held harmless by the member/guest for any injury or loss to the member/guest or to his or her property which may result from participation in NJMG events and activities. This means that each and every member of NJ Mopar Group and their guest(s) have no ground for legal action against MMC LLC, NJ Mopar Group, or any officer in either organization for any injury resulting to them or their property.
Article XIII - National, State, Local Laws
If any part of this Charter should be invalid for any reason whatsoever under any national, state or local laws having jurisdiction over the subject matter of this Charter, then that part shall be considered deleted from this Charter and the rest of this Charter shall remain valid and in full force and effect.
